Job Description Summary
We are looking for someone to fill the General Counsel position. The detentor will be deeply involved in all aspects of the legal and compliance support. These are key aspects for the growth and risk manage- ment of a complex, multi-faceted company involved in LATAM finance.
Roles and Responsibilities
Providing legal support and assistance (inclu- ding drafting and negotiating) on a range of international and domestic financing transactions and guarantee agreements across the region. These include Mexican trusts and SPVs requi- red for non-traditional financing operations, contracts, equipment pledge contracts, multi-year service agreements, cross border transactions, consortium agreements, guaran- tees, bonds and side letters.
Providing legal support and counsel on a range of issues related to pre and post contract execution projects across the region. These include regulatory issues, contract interpretation and guidance, consortium arrangements, bidding, compliance and claims.
Providing legal support, counsel and manage- ment of disputes and potential disputes across a range of jurisdictions and contracts. Some of this work will be done with outside counsel.
Requirements
At least 8 years of legal post-qualification experience, preferably in a law firm or a multina- tional corporation.
Experience in drafting and negotiating internatio- nal sales and service agreements.
Experience in working and negotiating with international customers.
Experience in international trade, dispute resolution and corporate governance.
Superior advocacy skills, including sharp written and oral communication skills, with an aptitude for practical negotiation.
The candidate should have experience working with and navigating through government ministries, local governments, government agencies, state owned enterprises, state utilities, government procurement regulations and local courts in Mexico City.
Other assignments instructed by the firm’s direc- tors from time to time.
